Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MM Solutions fleet management platform ("Service"), operated by MM Solutions LLC ("we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Terms

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must promptly notify us of any unauthorized use of your account.
  • You may not use the Service for any illegal or unauthorized purpose.
  • One person or legal entity may maintain no more than one free account.

3. Subscription and Billing

  • The Service is offered on a subscription basis with monthly or annual billing cycles.
  • Prices are subject to change with 30 days' written notice.
  • All fees are exclusive of applicable taxes unless stated otherwise.
  • Downgrading your plan may cause loss of features or capacity. We are not liable for any such loss.

4. Free Trial

We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue accessing premium features. We reserve the right to modify or discontinue the free trial at any time.

5. Cancellation and Termination

  • You may cancel your subscription at any time through your account settings or by contacting support.
  • Cancellation takes effect at the end of the current billing period.
  • Upon cancellation, your data will be retained for 30 days, after which it may be permanently deleted.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

6. API Terms

Access to the MM Solutions API is governed by these Terms. Abuse or excessive use of the API may result in temporary or permanent suspension of access. We reserve the right to set and enforce usage limits at our discretion.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by MM Solutions LLC and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of all data you upload to the Service.

8. Data Handling and Privacy

  • Your use of the Service is also governed by our Privacy Policy.
  • We process data in accordance with applicable data protection regulations, including GDPR and CCPA where applicable.
  • You may request export or deletion of your personal data at any time.
  • We implement industry-standard security measures to protect your data.

9. Limitation of Liability

To the maximum extent permitted by law, MM Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill.

10. Indemnification

You agree to indemnify and hold harmless MM Solutions LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance. We are not liable for any downtime or service interruptions beyond our reasonable control.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Harris County, Texas.
